1. Acceptance of these terms

This website, axisfusionholdingstec.site (the site), is operated by Axis Fusion Holdings Pty Ltd (ABN 91 699 420 249, ACN 699 420 249), an Australian company registered in Western Australia (we, us, our).

By accessing or using the site you agree to these terms of use. If you do not agree to them, please do not use the site. We may amend these terms from time to time under clause 12, and your continued use of the site after an amendment means you accept the amended terms.

2. Information only — not advice or an offer

The content of this site is general information about our company and its activities. It is not financial, investment, taxation, accounting or legal advice, and it does not take account of your objectives, financial situation or needs. You should obtain your own professional advice before acting on anything you read here.

Nothing on this site is an offer or invitation to subscribe for, purchase or dispose of securities or any financial product, and nothing on it constitutes a recommendation in relation to any business, security or transaction. Descriptions of what we do are descriptions of our functions as a holding company; they are not an offer of services to the public and they do not create any obligation on us to enter into any transaction.

No contract or binding commitment arises between us because you have used this site or sent us an enquiry. Any transaction between us will be governed exclusively by the separate written agreement the parties sign for that transaction.

You must not otherwise reproduce, adapt, publish, distribute, frame or commercially exploit any part of the site without our prior written consent. Nothing on the site grants you any licence or right in our intellectual property except the limited right of use set out in this clause.

Where you send us information through the site or by email, you warrant that you are entitled to disclose it, that it does not infringe anyone else’s rights, and that it is not confidential to a third party unless you are authorised to disclose it. We handle personal information in accordance with our privacy policy.

Email is not a secure channel. We are not responsible for material that is intercepted, corrupted, delayed or lost in transmission to or from us.

6. Availability of the site

We aim to keep the site available, but we do not warrant that it will be available without interruption or free of errors. 8. Australian Consumer Law

Certain rights, guarantees and remedies are conferred on consumers by the Australian Consumer Law, being Schedule 2 to the Competition and Consumer Act 2010 (Cth), and by other laws that cannot lawfully be excluded, restricted or modified.

Nothing in these terms excludes, restricts or modifies any such right, guarantee or remedy, and to the extent that any part of these terms would do so, that part does not apply. Where our liability under the Australian Consumer Law can be limited but not excluded, our liability for a failure to comply with a consumer guarantee in relation to services is limited, at our option, to supplying the services again or paying the cost of having the services supplied again.

9. Limitation of liability

Subject to clause 8, and to the maximum extent permitted by law:

• we exclude all conditions, warranties and representations that are not expressly set out in these terms, whether implied by statute, custom or otherwise;
• we are not liable to you for any loss or damage, however arising (including in contract, tort, under statute or otherwise), in connection with your use of, or inability to use, the site or anything contained on it;
• we are not liable for any indirect, special or consequential loss, or for any loss of profit, revenue, business opportunity, goodwill, anticipated savings or data; and
• where our liability is not otherwise excluded, our aggregate liability arising in connection with the site is limited to one hundred Australian dollars (AUD 100).

You acknowledge that you use the site at your own risk and that these limitations are a reasonable allocation of risk given that the site is provided to you free of charge.

10. Indemnity

You indemnify us and our directors and officers against any claim, loss, liability, cost or expense (including reasonable legal costs) that we suffer or incur arising out of your breach of these terms, your misuse of the site, or your breach of any applicable law in connection with the site.

11. Suspension and termination

We may restrict, suspend or terminate your access to the site at any time, without notice and without liability, if we reasonably consider that you have breached these terms, that your use presents a risk to the site or to other users, or that suspension is necessary to comply with a law or a request from a regulator.

Termination does not affect any right or liability that accrued before termination. Clauses 4, 5, 8, 9, 10, 13 and 14 survive the termination of these terms.

We may amend these terms at any time by publishing the amended version on this page. The version published here is the version that applies, and the date on which it was last updated is shown at the top of this page. Please review these terms each time you use the site.

13. General

If any provision of these terms is found to be invalid, unenforceable or illegal, it is severed to the extent necessary and the remaining provisions continue in full force. A failure or delay by us in exercising a right under these terms is not a waiver of that right. These terms record the entire agreement between you and us in relation to your use of the site.

14. Governing law and jurisdiction

These terms are governed by the laws of the State of Western Australia and the Commonwealth of Australia as applicable in Western Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia and of the courts competent to hear appeals from them.
