About the company

A holding company, not a fund

Axis Fusion Holdings Pty Ltd is privately owned, Australian registered, and run from Perth. The businesses we buy are meant to stay bought.

What we are

Ownership as the product, not a transaction

Most capital that reaches a Western Australian business arrives with a return date attached. A fund raises money, deploys it, and has to give it back within a defined life — which means the sale of a good business is scheduled before anyone knows whether selling is the right thing to do.

Axis Fusion Holdings is structured the other way round. We hold interests in operating companies, together with the property and equipment those companies use, on our own balance sheet. Nothing obliges us to sell, so the question we ask about an acquisition is whether it is durable, not whether it is saleable in five years.

That makes us a narrow buyer. We look at fewer businesses than a fund would, we move at the pace of the owner rather than a mandate, and we are comfortable saying no to a business that is trading well but would not survive the loss of one customer.

How an approach progresses

Four stages, and you are told where you stand at each one

Selling or part-selling a business you built is not a routine event. The sequence below is deliberately short, and nothing moves to the next stage without your agreement.

  1. First contact

A short note, answered by a director

Tell us the industry, where the business trades, roughly how long it has operated and what you are hoping to achieve. No financial statements at this stage. We reply either way, and if it is not something we would hold, we say so plainly instead of leaving it open.

  2. Information exchange

Enough to form a view, under confidentiality

If there is a fit, we sign a confidentiality agreement and work from your existing accounts, customer concentration, key supplier arrangements and plant register. We would rather read what you already produce than send you a document request that takes a fortnight to answer.

  3. Terms

Structure, price and what happens to you

We put the shape in writing: what proportion we are acquiring, how it is funded, what happens to the premises and equipment, and what your own involvement looks like afterwards — whether that is a clean handover or several years alongside us.

  4. Completion and hold

Into the group, and then the long part

After completion the operating company keeps its name, its people and its customer relationships. The holding company takes on funding, statutory compliance, group insurance and banking, and sets a reporting rhythm with the managing director.

Durability is the only test we apply twice.

A business passes if it would still be here after losing its largest customer, its most senior tradesperson, or a year of favourable conditions. Very few do, and that is the point of asking.

What we look for, in order: recurring or repeat revenue rather than one-off project work; a customer base wide enough that no single account decides the year; equipment and premises that are owned or securable rather than held on fragile terms; and a management team that wants to keep running the business.

What rules a business out: reliance on a single contract or tender cycle, unresolved safety or environmental exposure, or an owner who needs to leave immediately with no one behind them.
