A holding structure only earns its keep if it takes work off the operating company rather than adding a reporting layer to it. We keep the split explicit from the first meeting, and we write it down.

The result is that a managing director spends their week on customers, staff and plant — and not on refinancing, insurance renewals or ASIC correspondence.

We only buy what we would be content to still own in twenty years.

That single constraint decides everything downstream — which approaches we take seriously, what we are willing to pay, how much debt we will put against a business, and how we govern it once it is inside the group.

It also rules a great deal out. Businesses that depend on one contract, one supplier or one person are not durable enough to hold on that horizon, however well they are trading today.
